Legal Mumbo Jumbo

Bridge Space Membership Agreement

At Bridge Space, we help put entrepreneurs in a position where they can be successful.

Bridge Space is a community-focused workplace for location-independent workers, startups, entrepreneurs, coworkers, groups, community members, and small businesses. This space exists for the Lee’s Summit community to come together, share ideas, learn from each other, and to grow our community.

Being a member of Bridge Space is not just about having a place to work - it’s about participating in the community, sharing your knowledge with fellow members, building relationships, and creating a better place than when you arrived. Members share the central tenet to live and work flexibly, to be social, to help each other, and to be welcoming to everyone in the community.

We are located at 210 SW Market Street Lee’s Summit, MO 64063.

This Agreement (“Agreement”) is between CoWork, LLC. DBA Bridge Space and you (“Member”) relating to use of the coworking space at 210 SW Market Street Lee’s Summit, MO 64063 (the “Space”).

This is a legally binding contract with rights and responsibilities. While we believe that you’re going to do the right thing, our fancy-pants lawyers need you to sign this legal document.

Bridge Space will permit Member to use the Space subject to the following terms and conditions:

1. Services

This is not a lease; you are not guaranteed property rights, tenant rights, and there is not an assumption of quiet enjoyment. Membership at Bridge Space functions in a manner similar to that of a gym membership. Bridge Space offers the below services and amenities (the “Services”) based on Membership Level:

  1. Access to the Space (upon the terms and conditions of this Agreement);
  2. Access to member events and programming (excluding private events);
  3. Use of common areas within the Space (member lounge, kitchen, restrooms, phone booths, etc.);
  4. Use of meeting/conference rooms (based on availability);
  5. Use of furniture, standard utilities, and janitorial service;
  6. Use of copying, printing, and scanning (subject to monthly allowances and prices based on membership level); and
  7. Use of internet access (WiFi or hardwired).

2. Member Access & Use

Member will be permitted to use the Space and individual services based on the membership level selected (“Membership Level”).

3. Holidays and Hours

Normal business hours are 9:00 am-5:00 pm Monday-Friday. During these hours, a Bridge Space team member will be on site. Bridge Space is closed (also known as “unstaffed”) on most standard U.S. holidays. The holiday closures will be posted on signage around the space. Please see our holiday addendum for a current list of holiday closures. However, to ensure the Bridge Space team has adequate time to enjoy our families, we reserve the right to amend this list. Remember, your membership may include 24/7 access, and we encourage you to use the same as much as possible. Know that on unstaffed days, you’ll have to make your own coffee.

You can do it. We believe in you.

4. Membership Fees

  1. According to your chosen membership level, Member agrees to pay Bridge Space membership fees according to a schedule of fees. Bridge Space has the right to change our fees as we see fit.
  2. Fees shall be due on the anniversary start date of the Effective Date of this Agreement (the “Due Date”). By signing this Agreement, Member authorizes Bridge Space to charge membership fees then in effect to the submitted credit card on the Effective Date and each subsequent due date until the membership is canceled or terminated according to the terms of this Agreement.
  3. If payment is denied by the card issuer, Bridge Space will notify Member and will re-submit the charge. If Bridge Space notifies member of a second denial by the card issuer, the membership will be terminated unless Bridge Space receives payment by cash or cashier’s check within five (5) business days of notification.
  4. If Member wishes to terminate membership or change to another membership level, he/she must notify Bridge Space in writing at least 60 days prior to the next Due Date. Termination or change notices received after that time will not be effective until the subsequent month. Bridge Space will not issue refunds or prorate monthly membership fees if you choose to terminate your membership.
  5. Bridge Space reserves the right to change, modify or amend the fee rates listed on the Bridge Space website at any time and in its sole discretion. Bridge Space will give Member thirty (30) calendar days’ notice of any change to or modification of such rates.

5. Member Responsibilities

Bridge Space is not your typical professional environment. We're not a fully staffed office; we don’t care about dress codes. To keep the environment focused on community, here are some basics we ask everyone to be mindful of when using the space.

By signing below, you agree to the following responsibilities:

  • Be nice. Simple.
  • Participation is an extreme sport. You break or lose it, you replace it.
  • Bring problems with plumbing, electrical, HVAC, roof, flooding, broken keypads, natural disasters, etc. to the attention of a staff member.
  • Never give out Bridge Space keys, fob access, passwords, or general access to anyone. Seriously.
  • Accompany guests at all times. Their behavior is your responsibility.
  • Pay your membership dues on time. It’s not our job to chase you down. Make a note on your calendar or sign up for automatic renewal.
  • Engage with fellow members meaningfully. Pop in and out of the entire space, introduce yourself to new members and be a connector.
  • Equipment and general liability insurance is your own responsibility. Bridge Space is not responsible if your items are lost, stolen, or damaged.
  • Clean up after yourself. Washing your dishes and tidying up is everyone’s responsibility. We work together to maintain a space we feel proud of. Plus, your Mom doesn’t work here. (Thank goodness, right?!)
  • Leave the spaces as you found them, or in better shape. (This includes cleaning up after your guests.)
  • Anyone who behaves in a manner that is destructive to the Space or the Members may be asked to leave. If anyone in our Space makes you feel uncomfortable, bring it to a team member’s attention immediately.
  • Be responsible and respectful of your internet usage. No bit-torrent, pornography or illegal activities. Respect other people’s privacy, confidentiality, safety, property, and data. If the law comes looking for you, we’re turning you in.
  • We’re an environmentally friendly place. Recycle. Turn lights off. Don’t hog the car-charging station.
  • Do not solicit any other clients in the Office Space;
  • Do not defame, abuse, harass, stalk, threaten or violate the legal rights of others;
  • Do not obstruct any entranceway, create any circumstances of disrepair or damage any Bridge Space property or premises.
  • Do not alter, remodel, and/or redecorate individual offices, unless agreed upon in writing by Bridge Space. This includes using microwaves, mini-fridges, hotpots, space heaters, or other appliances. You may use printers and scanners in private offices.
  • Do not use tape to adhere paper to glass.
  • Do not bring, use or keep any kerosene, gasoline, flammable, combustible fluid or material in the Space or the building.
  • Do not use the name of, or any picture of the Building in connection with promoting or advertising Client’s business without prior written consent.
  • Do not smoke in the Space, as Bridge Space is a nonā€smoking zone.
  • Do not violate and/or compromise the building or its protection from fire, flood, gas, electricity or weather and/or compromise the building security or the security of the spaces therein.

6. Bridge Space Responsibilities

  • Internet and utilities
  • Facilitate social, learning, events, classes, and workshops
  • Create networking opportunities to accelerate your business’ success

7. Termination by Member

  2. Subject to section 4, subsection d, no additional membership fees will be charged upon termination, but Bridge Space will not refund fees for the remainder of any month or any prepaid months.
  3. Upon termination, Member shall remove all belongings from the Space and file a change of address with the USPS (if applicable). Belongings left for more than two (2) weeks following termination will be donated to a charitable organization, and mail arriving more than two (2) weeks following termination will be returned to sender, unless it’s a box of chocolates. We’re keeping and eating those. No apologies.

8. Termination by Bridge Space

  1. Bridge Space may terminate Member’s membership at any time and in its sole discretion, with or without cause.
  2. If Bridge Space terminates the membership without cause, the termination will be effective immediately upon written notice. In the event of such termination, no further fee payments shall be required or charged by Bridge Space. Bridge Space will refund Member for any full or prepaid months.
  3. If Bridge Space terminates the membership with or for cause, the termination will be effective immediately upon written notice, and there will be no refund of any membership fees. For purposes of this section, “with or for cause” includes but is not limited to Member’s failure to pay membership fees or to pay on time, breach of this Agreement, failure to follow the Community Code of conduct, illegal or abusive behavior or harm or potential harm to other members or guests or the Space, or repeated complaints by other members or guests.

9. Confidentiality

Member understands and agrees that while using the Space or the Services, he/she may see, learn, receive or otherwise be exposed to confidential and proprietary information relating to Bridge Space or other members and their businesses, including without limitation, products and services, billing and pricing methods, customers and customer lists, and any other sales, marketing, financial and/or other non-public business information (“Confidential Information”) belonging to other members or guests. Member agrees to hold all such Confidential Information in the strictest confidence, and Member shall not, directly or indirectly, use or disclose to any third party any such Confidential Information for any purpose.

Bridge Space reserves the right at all times to disclose any information about you, your participation in and use of the Services as Bridge Space deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Bridge Space’s sole discretion.

Please know that guests will be in and out of Bridge Space all day - watch your mouth. Protecting your confidentiality is always your responsibility.

Your participation in and/or use of the Services obligates you to (1) maintain all Confidential Information in strict confidence; (2) not to disclose Confidential Information to any third parties; (3) not to use the Confidential Information in any way directly or indirectly detrimental to Bridge Space, or any participant or user of the Services. c. All Confidential Information remains the sole and exclusive property of Bridge Space or the respective disclosing party. You acknowledge and agree that nothing in this Membership Agreement or your participation or use of the Services will be construed as granting any rights to you, by license or otherwise, in or to any Confidential Information or any patent, copyright or other Bridge Space intellectual property or proprietary rights of Bridge Space, or any participant or user of the Services.

Participation In or Use of Services. You acknowledge that you are participating in or using the Services at your own free will and decision. You acknowledge that Bridge Space does not have any liability with respect to your access, participation in, use of the Services, or any loss of information resulting from such participation or use even if caused by the negligence of Bridge Space or its employees or agents.

10. Security and Safety

For your safety, we have strategically placed surveillance cameras in many areas. While we strive to create Bridge Space as a safe environment, we are not responsible for any lost or damaged items. You are responsible for your own safety and security while at Bridge Space. Take appropriate precautions.

While we do have surveillance cameras at entrances and in public access areas, we cannot guarantee a 100% secure environment. After normal hours of business operation, the community's property may be exclusively in your hands. Please treat this privilege as if each person's valuables were your own. If your 24/7 access is abused by unauthorized parties or otherwise used for unapproved extra-curricular activities, Bridge Space may terminate your membership or revoke your 24/7 access privileges. 24/7 access is not transferable and may not be lent out at any time to anyone for any reason. Sharing access will result in membership termination.

If your fob/key cards are misplaced or stolen, please notify a Bridge Space team member immediately. A $10 fee per card will be charged to your account, and Bridge Space will issue you replacement cards. Additionally, any access cards not returned on or before the last day of your membership, for any reason, will incur a $10 fee per card on your account within 5 days of your last day of membership.

11. Photo/Video Release

Member agrees to grant to Bridge Space and its authorized representatives permission to record photos and/or video of Member while on-site at Bridge Space or at a Bridge Space sponsored function off-site. Member further agrees that any or all of the material photographed may be used, in any form, as part of any future social media, online, or printed materials used to promote Bridge Space, and further that such use shall be without payment of fees, royalties, special credit or other compensation to the member.

12. Internet Policy

Member agrees not to use the Space or Services for any purpose that is unlawful or prohibited by this Agreement. Member further agrees not to use the Space or the Services in any manner that could damage, disable, overburden, or impair any Bridge Space server, or the network(s) connected to any Bridge Space server or another member’s equipment, or to attempt to gain unauthorized access to any accounts, computer systems or networks connected to any Bridge Space server, through hacking, password mining or any other similar means. Member further agrees not to interfere with any other member’s use and enjoyment of the Space and any Services.

You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You may not access pornography or bit-torrent on our bandwidth.

CODE OF CONDUCT

Because we want to create an environment of mutual respect where all can thrive, we have developed the following guidelines for Bridge Space (Bridge Space) members and guests:

  1. Community Space, It’s Your Space – if you use meeting rooms, the kitchen area or any other communal space, please put everything back where you found it when you’re done.

Pick up after yourself.

  1. It’s a Workplace, Get Things Done, and Have Fun – we want things to be open and informal, but ultimately, folks come to Bridge Space to work. Keep things professional and respect the need of others to work with minimal disruption.
  2. We Are Not a Library – it’s ok to talk in the main open space. Here are some ways to be respectful of coworkers when it comes to noise.

Please use headphones while listening to music or watching video.

Phone calls that last more than a moment or two should be taken in the phone booth or in an empty meeting room, if possible. If it’s not possible to reserve a room or use the phone booth it is acceptable to take the call in the main open space just do so with minimal disruption to coworkers.

Please keep your phone ringer on low volume or vibrate.

When you are collaborating with others, please reserve and use a meeting room. Remind meeting-goers that voices, even behind closed doors, can carry.

  1. The Member Lounge – you are welcome to use the dishes and silverware. When possible please clean what you use, and return it to the shelf or leave it to dry in the rack. Also, our refrigerator is small, so please be considerate when storing food and drink. The refrigerator will be cleaned weekly.
  2. Taking Out the Trash – Your Bridge Space team will cover this fun job, but if you have a meeting which generates an unusual amount of trash, take it to the dumpster. If your trash is likely to draw bugs or leave an odor, please take it with you. Don’t be the smelly kid.
  3. Help Us Save Mother Earth– Please turn off the lights when you leave any of the meeting rooms, phone room, or restrooms.
  4. Safe and Secure – we want to keep you and your property safe. Do not give your door security code to others, and do not leave guests unattended at Bridge Space. If there is an emergency, please call 911.
  5. Be Our Guest – make sure your guests follow these guidelines. All guests should sign-in upon arrival so we have a record of who is using the space. If a Bridge Space team member is available when your guests arrive, we will be happy to buzz them in. However, please avoid situations where other members are required to assist your guests.
  6. Meeting Rooms – meeting rooms are available based on membership level and can be reserved using our online platform. Reservations are on a first come, first served basis. You are welcome to “pop-in” to a meeting room when it is not in use or reserved. Please double check the conference room calendar to ensure there is not a reservation if you plan to use it for more than a few minutes. After using the rooms, just put everything back the way you found it.
  7. Office Supplies – Bridge Space provides basic office equipment and supplies for your use. No one is counting staples, but if you have a big project that requires an unusual amount of paper or other supplies, please bring your own or replace what you have used.
  8. Privacy and Confidentiality – please respect the privacy of your fellow members and refrain from disclosing things you hear or see at Bridge Space with others. If you will be discussing confidential matters related to your own work or personal life, you should take care to maintain necessary confidentiality by using the meeting rooms or phone room.
  9. Selling Your Wares – by all means, make sure that other members know what you do or sell - that’s one of the many benefits of a shared workspace. We want Bridge Space to promote networking and connecting with new business partners. However, please avoid directly soliciting other members without their invitation.
  10. Community Concerns – coworking may be new to some, and our community is growing and evolving. If you have concerns with another member, don’t hesitate to discuss the situation with them directly to improve things. You can also discuss concerns or suggestions for improvement at any time with the Bridge Space staff.
  11.  Guest Policy - we understand that you might need to bring in a client, service professional, or another person to help you do your job and achieve your goals. Please enjoy your guest during normal business hours, check in your guest at the front desk, and stay with them while they visit Bridge Space.

You are responsible for cleaning up after your guest, which includes returning and washing dirty dishes and glasses to the Member Lounge.

Alcohol - A number of private member-only events and catered public events will be held at Bridge Space, and alcohol may be an option. Should you choose to participate in these, we ask that you always drink responsibly. Drunkenness will not be tolerated and could result in the cancellation of your membership.

However, be warned that smart and talented people may be showing up at any hour. At Bridge Space, we love to share the space, the cool people, and the activities of our community with everyone on the planet. With this agreement, you provide absolute and irrevocable right and unrestricted permission to use, reuse, publish and republish any photographs or video taken of your beautiful face in whole or in part, individually or in conjunction with other photographs, printed material or video matter, in any and all media now or hereafter, and for any purpose whatsoever allowed by law for illustration, promotion, art, editorial, advertising and trade, or any other purpose whatsoever without restriction as to alteration.
